The website www.joule-project.com (the “Website”) is intended for the promotion and sale of fine jewelry and related projects. To use this website, please read the following terms and conditions carefully. These are the general rules applicable to any use of the Website, including creating an account or making a purchase.
Use of the Website implies full acceptance of these Terms and Conditions. If you do not agree with these terms, please do not use the Website.

JOULE PROJECT S.R.L., a limited liability company registered in Romania, headquartered in Bucuresti, Sos. Virtutii nr.22, Camera1, BL.R10, sc.2, et5, ap55, sector 6, registered with the Trade Registry under no. J40/1227/2018, Sole Registration Code RO 38772059, is the owner and data controller of the Website („Joule Project” or the „Controller”).

2. CONDITIONS AND CONSEQUENCES OF USING THE WEBSITE
Any content element used within the Website, such as trademarks, logos, designs, images, texts, graphics, audio materials, animations, articles and all other materials presented within them, belong exclusively to Joule Project and/or their partners. Also, all software and technologies used or implemented on or through the Website are the property of Joule Project or of their licensors and they are protected by copyright law and other applicable laws.
Users are allowed to use all of these materials only to access and use the Website. These materials may not be copied, disassembled, modified, reproduced, published on other websites or in any network computerized environment, used for public purposes, included, changed or distributed, redistributed, licensed, sub-licensed or transferred in any form, by any person, without the prior written consent of Joule Project.
Joule Project offers their users a limited, non-exclusive, revocable license to view, print or download any useful and/or possible materials from the Website, exclusively for personal, non-commercial use, provided that they keep in the downloaded materials all mentions concerning the copyright and other elements regarding the intellectual property existing in the original documents - without altering them.
Any unauthorized use of these materials represents a violation of the intellectual property rights of Joule Project, their partners or third-party affiliates and will entail the exercise by them of all legal remedies.
Joule Project is not responsible for the continuous operation of the Website, the compatibility between it and other applications used by the users, nor for the use of the Website by fraudulent/abusive means and methods by any person.
Joule Project cannot control and does not offer any suggestions, guarantees or conditions regarding the security or the content of the external information that is transmitted from the Website user’s network, through the Internet, in order to access and use the Website. The Website is available through the Internet - a network that is not under the direct or indirect control of Joule Project.
The user is forbidden to use and/or allow a third party to use the Website for immoral or illegal purposes.
The user is directly responsible for all his/her actions and errors that lead to material losses and/or damages of any kind, for himself/herself or for third parties, regardless of whether he/she acted intentionally, negligently or recklessly.
Users who violate the security of systems or networks or who threaten their integrity will bear the consequences (criminal or civil) established by the applicable legal norms.
Joule Project will make best efforts for the Website to operate at maximum parameters. However, Joule Project does not guarantee that the Website does not contain errors or that it permanently operates at maximum parameters. Joule Project will not be legally responsible for any inadvertence or error presented on the Website but will take all necessary actions to promptly remedy any errors.
3. PURCHASE ORDERS
A. Invitation to buy
Please note, that all products offered on the Websites are an invitation to buy only and are not an offer or unilateral contract of sale from our side. By completing the check-out process and clicking the purchase button, you provide a binding offer to conclude a purchase contract, however, all orders submitted by you are subject to acceptance by us.
We are free to not accept your order for any reason whatsoever, without liability and in compliance with applicable laws.
Examples of when we may not accept your order include, but are not limited to:

B. Registration / user account
When placing an order, you can check-out as a guest, or you may create a user account on the Website. Both options require certain mandatory fields (name, surname, address, email address, phone number) on an order form. When you create an account, we may ask you to set up and use a password to be able to access your information the next time you wish to purchase a product via the Website. You will be responsible for ensuring that your password is kept secure and confidential at all times.
Without prejudice to our other rights and remedies, we may suspend your access to the Website without liability to you, if in our reasonable opinion, such action is necessary for safeguarding the Website.
You agree that the content you provide when you register on the Websites is not misleading and is true, accurate and complete in all respects.
C. Placing an order
A binding purchase contract is not formed until we have accepted your order. Please note that products in your shopping basket and on your wishlist are not reserved and may be purchased by other customers and/or removed from your shopping basket.
You agree that once you have clicked the purchase button, your order on the Website is a binding offer to purchase from us the products listed in your shopping basket, under these Terms and Conditions.
Acceptance of your offer/order and the conclusion of a purchase contract is indicated by an email confirming that the order was accepted. Please note that after your order has been submitted, we are not able to change or cancel your order. 4. PAYMENT AND DELIVERY. RETURNS
A. Price and payment
The price quoted in the webstore when you place an order is the total price including all taxes. Delivery fees will be calculated at checkout, based on your delivery address.
The price for products that are bespoke / made to measure / made according to your specific requests will be communicated to you upon confirmation of your order.
You can pay for your order by online card payment or in other ways indicated on the Website. For online payments we use the services of a card payments processor – Netopia. B. Delivery
Joule Project aims to process and deliver your order as smoothly and quickly as possible. Orders are shipped to the delivery address provided by you and via the means of delivery chosen by you, from the ones indicated as available on the Website.
You can choose to have the products delivered to an address you indicate in the purchase form, or you can pick up the products from our showroom (if this option is indicated as available on the Website). In any case, the products must be paid online, in advance, in order to have the order accepted and the purchase confirmed.
If the delivery address is located outside the European Union, it is possible that the country in question charges additional levies, such as import tax. Joule Project has no influence or control over such levies and can therefore not provide you with further information. You must check yourself if the ordered articles can be exported and imported to the country in question and what the costs are, before placing such an order.
Ownership of the ordered products passes to you as soon as Joule Project has received full payment.
Joule Project takes great care to ensure that products are shipped accurately and in full. Should you unexpectedly receive incomplete or damaged products, please contact our customer support service.
Delivery fees and time are indicated in the dedicated section of our Website.
C. Returns and right to withdrawal
Products can be returned in accordance with the applicable legislation. You have the right to terminate the agreement within 14 days after receipt of all the products in your order, without giving any reasons for doing so. For this, you must inform us in any unambiguous way that you wish to terminate the agreement (for example by e-mail or a return form, if one is available on the Website) within the 14 days term.
If you choose to terminate the agreement as far as a particular product is concerned, you are required to return this product as soon as possible, but no later than 14 days after receipt of all the products in your order, to the correspondence address indicated in Article 1 above. The direct costs of the return shipment of the product to Joule Project are for your own account.
In case of such termination Joule Project refunds the amount paid for the product in question (excluding any paid delivery charges) within 14 days after Joule Project has received the returned product in question, or you are able to prove that the product has indeed been returned.
The termination right is meant to determine if the product is suitable and if you indeed want the product. It is permissible to use the product as far as necessary to verify whether or not you actually want the product, just like you would do in a retail space. Further use of the product, such as wearing the product in a public space or any other actual use, affects your termination right as set out in this section.
When you return a product that you have damaged, a product is incomplete or a product contains other signs of wear which show that you have used the product more extensively than permitted (as per the paragraph above), you are liable towards Joule Project for the decrease in the value of the product caused by you. Joule Project will deduct this decrease in value from the total amount to be refunded to you.
The termination right does not apply to products that are bespoke or made by us upon your special request or requirements. Any bespoke products can be returned only in case of defects.
All refunds related to returns will be made by Joule Project only after we assess and evaluate the products and make sure there are no damages, alterations, replacements, or any other intervention in relation to the products.
5. APPLICABLE LEGISLATION
These Terms and Conditions are governed by the laws of Romania.
The Website can be accessed from anywhere in Romania, but also from outside this territory (i.e., from other states), as far as technical conditions allow. Joule Project does not guarantee in any way the compatibility of the content of the Website and/or their Terms and Conditions with the legislation applicable in all countries from where users access the Website.
